TERMS OF SERVICE
1. Governance & Professional Standards
1.1 Standard of Care: All engagements are executed under a practitioner-led model of excellence, maintaining the rigour and data integrity protocols required for SC-Cleared (UK Government) initiatives. 1.2 Radical Candor: The Consultant is retained for objective strategic expertise. Diagnostic reports and advice will be provided with professional transparency, even where they challenge existing internal roadmaps. 1.3 Security Autonomy: I operate by default under the most stringent known security standards (GDS/SC-vetted protocols). Should a Client require a deviation for specific operational needs, such requests will be documented and executed provided they remain within legal and regulatory frameworks. In such instances, the Client acknowledges and assumes the residual operational risk.
2. Engagement Models
2.1 Strategic Pilots (Tactical Entry): Short-term sprints (2–4 weeks) are defined as "Diagnostic Pilots." These are designed to identify systemic friction points through active delivery. 2.2 Operational Architecture: Long-term consultancy focused on DesignOps and structural transformation requires direct access to the Project Sponsor (CEO/Director) to ensure delivery success. 2.3 Non-Negotiables: The Consultant does not participate in speculative (unpaid) work. Engagement is based on strategic value, not a "for-hire" hourly labour model.
3. Intellectual Property & Usage
3.1 Client Ownership: Upon receipt of final payment, the Client is granted a perpetual, non-exclusive licence to use the specific Deliverables (content, reports, or assets) created during the engagement. 3.2 Consultant Ownership: The Consultant retains all rights to the underlying Methodologies, SOP Frameworks, and Operational Patterns used to create the deliverables. These remain the proprietary intellectual property of Elliott Media. 3.3 Portfolio Rights: Unless an NDA specifically forbids it, the Consultant reserves the right to reference the engagement for professional case study purposes.
4. Commercial Terms
4.1 Payment Protocols: For "Strategic Pilots," a 50% commitment fee is required upfront. For retained consultancy, invoicing is on a Net-15 basis. 4.2 Access & Briefing: The Client agrees to provide timely access to necessary data and stakeholders. Delays caused by internal bureaucracy may result in a rescheduling of the delivery timeline. 4.3 Cancellation: Single-day consultations require 72 hours' notice; retained projects require a 30-day notice period.
5. Liability & Jurisdiction
5.1 Limit of Liability: Total liability for any claim shall not exceed the total fees paid by the Client for that specific project phase. 5.2 Jurisdiction: These terms are governed by the laws of England and Wales, or where specifically applicable to local delivery, the laws of Barbados.
